Item 1.01 Entry into a Material Definitive Agreement

On November 20, 2019, Universal Corporation (the “Company”) announced that it had entered into a Stock Purchase Agreement, dated as of November 20, 2019 (the “Stock Purchase Agreement”), with FruitSmart, Inc. (“FruitSmart”), the holders of all of the capital stock of FruitSmart (“Sellers”) and James P. Early, as the Sellers’ Representative, pursuant to which the Company will, subject to the terms and conditions set forth therein, acquire 100% of the capital stock of FruitSmart for approximately $80 million in cash (the “Acquisition”), with potential earnout payments totaling $25 million, based on FruitSmart achieving certain financial targets in calendar years 2020 and 2021. At the closing of the Acquisition, FruitSmart will become a wholly-owned direct or indirect subsidiary of the Company.

The parties to the Stock Purchase Agreement have each made customary representations, warranties and covenants. The parties have agreed to cooperate with each other and use commercially reasonable efforts to make all filings and obtain all consents, approvals and authorizations of all governmental entities to the extent required by law in connection with the execution, delivery and performance of the Stock Purchase Agreement and the consummation of the transactions contemplated thereby, subject to specified limitations. In connection with the consummation of the Acquisition, FruitSmart will enter into new leases with its affiliate landlords which contain purchase options to acquire the two primary facilities used by FruitSmart in conducting its business for a total of $16.5 million. Such purchase options will likely be exercised by Universal, with the sale expected to occur after June 30, 2020.

Consummation of the Acquisition is subject to certain conditions, including receipt of required regulatory approvals, including the expiration or early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, and other customary closing conditions and deliverables.

The Stock Purchase Agreement may be terminated by either party under certain circumstances, including if the sale is not consummated by January 31, 2020.

The Company expects to fund the transaction with a combination of cash on hand and existing borrowing capacity.

The foregoing description of the Stock Purchase Agreement is qualified in its entirety by reference to the Stock Purchase Agreement, which is filed as Exhibit 2.1 hereto, and is incorporated into this report by reference.

The above description of the Stock Purchase Agreement has been included to provide investors with information regarding its terms. The Stock Purchase Agreement contains representations and warranties made by and to the parties thereto as of specific dates.
