Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 22, 2023, the Board of Directors (the “Board”) of Willis Lease Finance Corporation (the “Company”), upon the recommendation of its independent members, appointed Brendan Curran to its Board, effective January 1, 2024. Mr. Curran will replace Hans Joerg Hunziker, whose resignation was accepted and is effective December 31, 2023.
