Election and Removal of Directors:

| | Holders of Class A Common Stock and Class B Common Stock, voting together as a single class, are entitled to elect the entire Board. Directors are elected by the affirmative vote of a plurality of the votes cast. Any or all of the directors may be removed at any time, either with or without cause, by vote of the shareholders, and any of the directors may be removed for cause by the Board. | | |
Holders of Class A Common Stock will be entitled to elect the entire Board. In any election of directors that is not a Contested Election, directors will be elected by the affirmative vote of a majority of the votes cast by the holders of shares entitled to vote in the election. In any Contested Election, nominees will be elected by a plurality of the votes cast by the holders of shares entitled to vote in the election.
