Item 2.02 Results of Operations and Financial Condition.

On November 3, 2022, Lions Gate Entertainment Corp. (the "Company," "we," "us" and "our") issued a press release announcing its results of operations for the quarter ended September 30, 2022. The press release issued by the Company in connection with the announcement is furnished as Exhibit 99.1 and is incorporated herein by reference.

Item 8.01 Other Events.

In connection with a potential separation or other transaction involving the Company’s Studio Business (collectively, the Company’s Motion Picture and Television Production segments), as previously disclosed on our Current Report on Form 8-K furnished on September 28, 2022, we are providing hereto as Exhibit 99.2 a schedule of management’s current expectation of the range of segment profit for each of the Company’s Studio and Media Networks Businesses for fiscal years 2023 and 2024, which were prepared in connection with strategic and financial discussions.
