Item 5.07 Submission of Matters to a Vote of Security Holders
On May 24, 2023, DENTSPLY SIRONA Inc. (the “Company”) filed a Current Report on Form 8-K (the “Original Report”) disclosing the results of the Company’s annual meeting of shareholders on May 24, 2023, including that shareholders selected, on a non-binding, advisory basis, every 1 year as the preferred frequency for the advisory vote on named executive officer compensation.
This Form 8-K/A amends the Original Report to disclose that on May 24, 2023, in light of the outcome of the shareholder vote and other relevant factors, the Company’s Board of Directors adopted a resolution providing that a non-binding, advisory vote on named executive officer compensation will be held every year.
