Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 19, 2023, David Hargraves, Senior Vice President of Supply Chain and a named executive officer of Premier, Inc. (the “Company”), informed the Company of his intention to retire from his position with the Company during the second quarter of the Company’s 2024 fiscal year. Mr. Hargraves has been with the Company since 2015.
