Item 8.01.

Other Events.

Exhibits are filed herewith in connection with the issuance on March 27, 2024 by Air Lease Corporation (the “Company”) of €600,000,000 aggregate principal amount of the Company’s 3.700% Medium-Term Notes, Series A, due April 15, 2030 (the “Notes”). The Notes were offered pursuant to the Company’s Registration Statement on Form S-3 (File No. 333-255862), filed with the Securities and Exchange Commission on May 7, 2021, and as supplemented by the Prospectus Supplement, dated May 7, 2021, and the Pricing Supplement, dated March 20, 2024. The Company has applied to list the Notes on the New York Stock Exchange (“NYSE”) under the symbol “AL30” although it cannot guarantee such listing will be obtained. If the application is approved, the Company expects trading of the Notes on the NYSE to commence within 30 days.
