ITEM 8.01    OTHER EVENTS

On August 8, 2023, Revance Therapeutics, Inc. (the “Company”), Hint, Inc. and Athyrium Buffalo LP entered into the First Amendment (the “First Amendment”) to the existing Note Purchase Agreement dated March 18, 2022, previously filed with the Securities and Exchange Commission as Exhibit 10.4 to the Quarterly Report on From 10-Q for the period ended March 31, 2022. Pursuant to the First Amendment, the Second Tranche Note Purchase Commitment (as defined in the Note Purchase Agreement) was reduced from $100.0 million to $50.0 million. On August 28, 2023, the Company issued to the purchasers under the Note Purchase Agreement the Second Tranche notes in an aggregate principal amount of $50.0 million.
