Item 8.01

Other Events.

On August 19, 2022, the Federal Communications Commission approved our previously-announced plan to divest our facilities-based incumbent local exchange carrier business primarily conducted within 20 Midwestern and Southeastern states. Subject to the satisfaction of the remaining customary closing conditions, we anticipate closing this divestiture early in the fourth quarter of 2022.

Additional information about this pending transaction is contained in the joint press release issued on August 22, 2022. That press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.
