Item 1.01 Entry Into a Material Definitive Agreement.
On December 2, 2019, our wholly owned subsidiary, Tenable, Inc., entered into a share purchase agreement (the “Purchase Agreement”) by and among Tenable, Inc., Indegy Ltd., a company organized under the laws of Israel (“Indegy”), the shareholders of Indegy set forth on Schedule I to the Purchase Agreement and Shareholder Representative Services LLC, as the representative of Indegy’s shareholders and optionholders thereunder, pursuant to which Tenable, Inc. acquired all of the outstanding share capital of Indegy (the “Acquisition”). The closing of the Acquisition occurred simultaneously with the execution of the Purchase Agreement on December 2, 2019. The aggregate consideration payable in exchange for all of the outstanding share capital of Indegy is approximately $78 million in cash, subject to adjustments set forth in the Purchase Agreement. All unvested options to acquire ordinary shares of Indegy were accelerated and became vested options immediately prior to the closing, and all options to acquire ordinary shares of Indegy were canceled in exchange for a right to receive a portion of the cash consideration.
The Acquisition has been approved by our board of directors and the board of directors of each of Tenable, Inc. and Indegy, and has been approved by the shareholders of Indegy.
The Purchase Agreement contains representations, warranties and covenants of Tenable, Inc., Indegy and the shareholders of Indegy that are customary for a transaction of this nature, including among others, covenants by Indegy and the shareholders of Indegy regarding public disclosures and other matters.
The Purchase Agreement also contains customary indemnification provisions whereby the shareholders and optionholders of Indegy will indemnify Tenable, Inc. for certain damages arising out of inaccuracies in, or breaches of, the representations, warranties and covenants of Indegy, pre-closing taxes of Indegy, and certain other matters, subject to certain caps and thresholds.
The foregoing description of the Purchase Agreement does not purport to be complete and is qualified in its entirety by the full text of the Purchase Agreement, a copy of which is filed as Exhibit 10.1 to this Current Report on Form 8-K and is incorporated by reference herein. The Purchase Agreement has been attached to provide investors with information regarding its terms. It is not intended to provide any other factual information about Tenable, Inc., Indegy or the shareholders of Indegy. In particular, the assertions embodied in the representations and warranties contained in the Purchaser Agreement are qualified by information in a confidential disclosure schedule provided by Indegy to Tenable, Inc. in connection with the signing of the Purchaser Agreement. This confidential disclosure schedule contains information that modifies, qualifies and creates exceptions to the representations and warranties and certain covenants set forth in the Purchaser Agreement. Moreover, certain representations and warranties in the Purchase Agreement were used for the purposes of allocating risk between Tenable, Inc. and Indegy rather than establishing matters of fact. Accordingly, the representations and warranties in the Purchase Agreement should not be relied on as characterization of the actual state of facts about Tenable, Inc., Indegy or the shareholders of Indegy.
