Item 1.01. Entry into a Material Definitive Agreement.
Subscription Agreements
On April 7, 2022, Biodesix, Inc. (the Company) entered into subscription agreements (the Subscription Agreements) with a consortium of investors (the Investors), including three members of our Board of Directors and other existing shareholders of the Company, for the issuance and sale by the Company of an aggregate of 6,508,376 shares of the Company’s common stock (the Shares) in an offering (the Private Placement). The three members of our Board of Directors acquired an aggregate of 3,631,284 shares pursuant to the form of a Subscription Agreement that did not include any registration rights. The remaining 2,877,092 shares were acquired by others pursuant to the form of a Subscription Agreement whereby we agreed to file, subject to certain exceptions, a shelf registration statement with respect to resales of such shares with the Securities and Exchange Commission no later than 60 days from April 7, 2022.
Pursuant to the Subscription Agreements, the Investors purchased shares at a purchase price (determined in accordance with Nasdaq rules relating to the “Minimum Value” of the Company’s common stock) of $1.79 per share, which is equal to the closing price of the Company's common stock on April 7, 2022, for an aggregate purchase price of approximately $11.7 million. The Subscription Agreements include customary representations, warranties and covenants by the parties to the agreement.

2021 Term Loan Amendment and Partial Repayment
On April 7, 2022 (Effective Date), the Company entered into the Consent and Third Amendment to Loan and Security Agreement (Third Amendment) by and between Silicon Valley Bank, a California corporation (SVB or Lender) and the Company, as borrower, whereby subject to the terms and conditions of the Third Amendment, certain waivers and consents were provided.
Under the terms of the Third Amendment to our 2021 Term Loan, the Company agreed to repayment of $3.0 million in outstanding principal in April 2022 with an additional $2.0 million to be paid no earlier than May 15, 2022, which could be extended to September 30, 2022, subject to debt or equity fund raising of at least $15 million, inclusive of the $11.7 million in funding through the Subscription Agreements noted above, in exchange for the following:

Item 8.01. Other Events.
On April 7, 2022, the Company raised approximately $11.7 million in net proceeds from the sale of 6,508,376 common stock in the Private Placement offering in order to, among other things, fund the partial repayment of the 2021 Term Loan and for general corporate purposes.
The Company issued a press release announcing the sale of common stock under the Private Placement and the execution of the Third Amendment to the Loan and Security Agreement and subsequent partial repayment of the
outstanding principal under the 2021 Term Loan. A copy of the press release is being furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
