Explanatory Note. This Current Report on Form 8-K/A (“Amendment No.1”) amends the Current Report on Form 8-K (the “Original Form 8-K”) filed by TXNM Energy, Inc. (the “Company”) on May 19, 2025, solely to include an additional Item 3.02. No other matters are being reported and this Amendment No. 1 does not otherwise make any changes to the Original Form 8-K.

Item 3.02 Unregistered Sales of Equity Securities.

The information set forth above under Item 1.01 of the Original Form 8-K is incorporated herein by reference. The securities to be sold under the Stock Purchase Agreement are being sold in reliance on the exemption from registration in Section 4(a)(2) of the Securities Act. The Company has agreed to pay a commission of up to 1% of the aggregate offering price of the securities to be issued.

Additional Information about the Proposed Transaction and Where to Find It

The proposed transaction between TXNM and BIP will be submitted to the shareholders of TXNM for their consideration. TXNM will file a proxy statement on Schedule 14A and other documents with the Securities and the SEC regarding the proposed transaction. Promptly after filing its definitive proxy statement with the SEC, TXNM intends to mail the definitive proxy statement and a proxy card to each shareholder entitled to vote at the special meeting relating to the proposed transaction.
